What is N-PX?  N-PX is an annual report of the proxy voting record.

Approaching Deadline: 
Submission required by
Aug 31, 2024


Vote Record:
Reports must include shares voted and vote record (including abstentions)


Record Period: 
Records must cover the period July 1, 2023, to June 30, 2024


Wide Reporting Net: 
Reports are required from RIAs over $100m in AUM and management investment co.'s (excl. N-5 filers)


Public Disclosure: 
All N-PX filings are publicly available on EDGAR


Why am I hearing more about N-PX? There are new requirements

+ Standard XML filetype

Submissions use standardized .xml filetype


+ Standard response order

All data must be provided in the order described on the N-PX form


+ Matched item language & order

Funds must use the same language and order as the issuer’s proxy card


+ Standard categorization

Votes must be categorized into 14 categories


+ Quantitative disclosures

Disclosure of number and disposition of shares voted
