which combine the quality of our research and recommendations with the
ease and reliability of our web-based Proxy Management Interface:
The Set-up Process - Egan-Jones works with clients to establish and, if
necessary, modify accounts to ensure timely and accurate account
information. A coverage list for each client is constructed and made
accessible to clients via password web site. Clients can also add to
their list at any time to reflect current holdings and can change
unnecessary names at their discretion.
Notification of Meetings - Clients are notified of shareholder meetings
relevant to their holdings in advance as they are posted to the web
site. We provide this notification on a best-efforts basis due to the
irregularity of some firms (especially overseas) to file electronically
or in advance of the meeting date. To facilitate monitoring upcoming
meetings, clients can also be alerted by our unique Proxy E-Lert system,
informing clients of upcoming proxy votes via e-mail reminder with a
hyperlink to our website and the appropriate recommendation report.
Research and Recommendations on Selected Voting Issues - Clients are
provided with thorough, cogent research and voting recommendations on
proxy proposals and related issues to facilitate making informed,
consistent voting decisions. Voting recommendations generally follow
along prescribed voting guidelines. However, each proxy proposal is
unique and is given individual attention by our research staff. We do
not vote according to a book of voting principles enumerating a canned
predetermined response to every possible situation without respect to
the specifics at hand.
Voting Guidelines and Client Override Flexibility - Egan-Jones offers
two sets of voting guidelines so clients can choose whether shares
should be voted with respect to Taft-Hartley concerns or whether overall
shareholder value considerations should take precedence. Plus voting
decisions are not locked in until just before the deadline, giving
clients ample time and opportunity via our Proxy Management Interface to
review and possibly override specific proxy vote recommendations as
desired. This is also where clients can adjust their holdings coverage
list as their portfolio holdings change throughout the year.
Execution of Votes - Egan-Jones offers automated voting services for a
small additional fee to eliminate the hassle and expense of handling
this increasingly important aspect of the investment process. Plus,
clients retain the ability to over-ride Egan-Jones's recommendations if
desired. Clients use the proxy management system on our website to
facilitate the timely, accurate casting of votes with electronic
confirmation of vote tabulation.
Vote Disclosure and Guidelines: Clients are provided with complete proxy
voting history documentation in a manner compliant with SEC mandate. In
addition, upon request, clients are supplied with a description of the
guidelines and principles used to arrive at the voting recommendations
as published.
